BYLAWS

OF THE

LEAGUE OF WOMEN VOTERS OF WEBER COUNTY

 

ARTICLE I

Name

 

The name of this organization shall be the League of Women Voters of Weber County.  This local league is an integral part of the League of Women Voters of the United States and of the League of Women Voters of Utah.

 

ARTICLE II

Purpose and Policy

 

            Section 1.  Purpose.  The League of Women Voters of Weber County, a non-partisan political organization, encourages the informed and active participation of citizens in government and influences public policy through education and advocacy.

 

            Section 2.  Policy.  The League of Women Voters of Weber County may take any action on local governmental measures and policies in the public interest in conformity with the principles of the League of Women Voters of the United States.  It shall not support or oppose any candidate or political party.

 

 

ARTICLE III

Membership

 

            Section 1.  Eligibility.  Any person who subscribes to the purposes and policy of the League shall be eligible for membership.

 

            Section 2.  Voting Member.  Voting members of the league shall be citizens of the United States at least 18 years of age.

 

            Section 3.  Member Action.  Members may act or speak in the name of the League of Women Voters of Weber County only when authorized to do so by the Board of Directors.

 

ARTICLE IV

Officers

 

            Section 1.  Qualifications.  No person shall be elected or appointed or shall continue to serve as an officer or director unless such a person is a voting member of the League of Women Voters of Weber County.

 

            Section 2.  Enumeration and Election of Officers.  The officers of the League of Women Voters of Weber County shall be the President, the First Vice-President, the Second Vice-President, the Third Vice-President, the Secretary, and the Treasurer, who shall be elected for terms of two years by the general membership at an Annual Meeting and shall take office on May 1 of that year.  The President, the First Vice-President and the Secretary shall be elected in odd-numbered years.  The Second Vice-President, the Third Vice-President, and the Treasurer shall be elected in even-numbered years.

 

            Section 3.  The President.  The President shall preside at all meetings of the organization and of the Board of Directors.  The President may, in the absence or disability of the Treasurer, sign or endorse checks, drafts and notes.  The President shall be an ex officio member of all committees except the Nominating Committee.  The President shall have such usual powers of supervision and management as may pertain to the office of the President and shall perform such other duties as may be designated by the Board of Directors. 

 

            Section 4.  The Vice-Presidents.  The Vice-Presidents, in order of their rank in the event of the absence, disability or death of the President shall possess all the powers and perform all the duties of that office.  The Vice-Presidents shall perform such other duties as the President or the Board of Directors designate.

 

            Section 5.  The Secretary.  The Secretary shall keep minutes of all meetings of the League and of all meetings of the Board of Directors.  The Secretary shall notify all Officers and Directors of their election or appointment; with the President shall sign all contracts and other instruments when authorized by the Board of Directors; and shall perform such other duties as the President or Board of Directors may designate.

 

            Section 6.  The Treasurer.  The Treasurer shall collect and receive all monies, shall be the custodian of these monies, shall deposit them in a bank designated by the Board of Directors, and shall disburse the same only upon order of the Board of directors.  The Treasurer shall present reports to the Board of Directors at their regular meetings and an annual report to the membership at the Annual Meeting.  The Treasurer shall maintain an accurate record of the membership of the League.

 

ARTICLE V

Board of Directors

 

            Section 1.  Composition and Term of Office.  The Board of Directors shall consist of the officers of the League and such appointed Directors as the Board shall deem necessary.  The term of office of an appointed Director shall be one year commencing on May 1.

 

            Section 2.  Vacancies.  Any vacancy occurring in the Board of Directors by reason of the resignation, death, disability, or disqualification of any officer except President may be filled until the next Annual Meeting by the majority vote of the remaining members of the Board of Directors.  Three consecutive absences from a regular Board meeting of any Director without a valid reason shall be deemed a resignation. 

 

            Section 3.  Powers and Duties.  The Board of Directors shall have full charge of the property and business of the organization with full power and authority to conduct the same, subject to the instructions of the general membership.  It shall plan and direct the work necessary to carry out the Program adopted by the National Convention, the State Convention and the Annual Meeting.  The Board shall create and designate such special committees as it shall deem necessary.

 

            Section 4.  Meetings.  The Board of Directors shall establish an annual calendar of regular meetings.  The President may call special meetings and shall call a special meeting upon the written request of at least one-third of all the members of the Board of Directors. 

 

            Section 5.  Quorum.  Those Directors in attendance shall constitute a quorum at all regular meetings of the Board of Directors.  A majority of the members of the Board of Directors shall constitute a quorum at special meetings of the Board of Directors.

 

ARTICLE VI

Financial Administration

 

            Section 1.  Fiscal Year.  The fiscal year of the League of Women Voters of Weber County shall commence on the first day of April of each year. 

 

            Section 2.  Dues.  Annual dues shall be determined by the membership at the Annual Meeting.  Dues shall be payable on or before October 1 annually.  Dues shall be delinquent after December 1 of that year.  Members who are delinquent shall be dropped from the membership rolls. 

 

            Section 3.  Budget.  A budget for the ensuing year shall be submitted by the Board of Directors to the Annual Meeting for adoption.  Proposed major changes in the budget, including membership dues, shall be presented to the membership in the newsletter preceding the Annual Meeting. 

 

ARTICLE VII

Meetings

 

            Section 1.  Membership Meetings.  The time and place of regular and special membership meetings shall be determined by the Board of Directors.  Notice of meetings shall be published in the newsletter preceding the meeting.

 

            Section 2.  Annual Meeting.  An Annual Meeting of the membership shall be held to precede both State and National League Conventions.  The Annual Meeting shall

                        a.  Adopt a local program for the ensuing year.

                        b.  Elect officers and members of the Nominating Committee

                        c.  Adopt a budget.

                        d.  Transact such other business as may come before it.

 

            Section 3.  Quorum.  Those members in attendance shall constitute a quorum at all meetings of the League of Women Voters of Weber County.

 

ARTICLE VIII

Nominations and Elections

 

            Section 1.  Nomination Committee.  The Nominating Committee shall consist of three members.  The Chair and two members shall be appointed by the Board of Directors.  Any vacancy of the Nominating Committee shall be filled by the Board of Directors.  Suggestions for nominations may be sent to the committee by any voting member. 

 

            Section 2.  Report of the Nominating Committee and Nominations from the Floor.  The report of the Nominating Committee of its nominations for Officers and the members of the succeeding Nominating Committee shall be presented to the membership in the newsletter preceding the Annual Meeting.  Immediately following the presentation of this report to the Annual Meeting, nominations may be name from the floor by any voting member provided the consent of the nominee shall have been secured.

 

            Section 3.  Elections.  The election shall be by ballot and by majority vote.  When there is only one nominee for each office, the secretary may be instructed to cast the ballot for every nominee.  Absentee or proxy voting shall not be permitted

 

ARTICLE IX

Program

 

            Section 1.  Authorization.  The governmental principles adopted by the National Convention and supported by the League as a whole constitute the authorization for the adoption of Program.

 

            Section 2.  Program.  The Program of the League of Women Voters of Weber County shall consist of

                        a.         Action to protect the right to vote of every citizen.

                        b.         Those governmental issues chosen for concerned study and action.

                        c.         Those issues on which League has adopted a position.

 

            Section 3.  Adoption of Local Program.

                        a.         The Board of Directors shall consider recommendations made by voting members prior to the Annual Meeting and shall formulate a Proposed Program.

                        b.         The Proposed Program shall be presented to the membership in the newsletter preceding the Annual Meeting.

                        c.         Following the presentation of the Proposed Program to the Annual Meeting, any voting member may propose program provided the proposal includes the scope, the chair, and the source of funds to pay the expected expenses.

                        d.         A majority vote of voting members present and voting at at the Annual Meeting shall be required for the adoption of each proposal.

 

ARTICLE X

National Convention, State Convention and Council

 

The Board of Directors of the League of Women Voters of Weber County shall select the delegates to the Convention of the League of Women Voters of the United States and to the Convention and Council of League of Women Voters of Utah.

 

ARTICLE XI

Parliamentary Authority

                                                                                                                       

The rules contained in Roberts Rules of Order, Revised, shall govern the organization in all cases to which they are applicable and in which they are not inconsistent with these Bylaws.

 

ARTICLE XII

Amendments

 

These Bylaws may be amended by a majority vote of the voting members present and voting at the Annual Meeting.  Proposed amendments shall be submitted to the membership in the newsletter preceding the Annual Meeting.
